Job Summary

The EVP General Counsel will provide executive leadership with respect to coordinating the internal and external legal services required to support the business needs of the separate and independent Farm Credit Associations (AgCountry Farm Credit Services, Farm Credit Services of America, and Frontier Farm Credit), as well as coordination of the corporate governance processes, practices and framework for the three Associations.

The EVP General Counsel will report to the President & CEO and serve as a member of the Associations executive leadership team.

Essential Duties & Responsibilities

  • Provide direct leadership for the Associations' Legal team (12-15 teammates) ensuring that the three separate Associations have the benefit of legal resources (internal and external counsel) with appropriate expertise (Commercial Transactions, Real Estate Law, Intellectual Property Law, Employment Law, Litigation, Corporate Law and Regulatory Compliance) to effectively address the unique business needs and legal risks of the three separate Associations.
  • Partner with internal and external stakeholders to provide sound legal advice and counsel that enables effective strategic problem solving within the various business divisions serving all three Associations (Business Development, Credit and Risk Management, Operations, Administration, Finance, Strategy and Technology).
  • Oversee and manage all direct lawsuits, counterclaims, and other significant legal or litigation matters that may materially affect any one or more of the three Associations.
  • Ensure compliance with all Farm Credit System reporting related to litigation or other legal matters for all three Associations.
  • Provide strategic direction for the Associations' Corporate Governance team, whose primary role is to:
  • Design and implement the corporate governance processes, practices and framework for three separate Associations
  • Coordinate processes and procedures related to maintenance of key corporate documents and agreements for each of the three Associations
  • Coordinate preparation of meeting agendas, minutes and resolutions, including required stockholder disclosures concerning the following for each of the three Associations
  • Serve as a member of the Executive Leadership Team and as the Associations' Corporate Secretary.
  • 30% travel required.

Education Requirements

  • Juris Doctorate and admittance to practice law in one or more of the states within the chartered territories of the Associations.

Years of Experience

  • 12+ years of legal experience and a thorough understanding of the legal aspects of agricultural finance, commercial lending, participations and syndications, commercial collections, consumer lending, litigation management and regulatory compliance. Leadership, facilitation and coaching skills needed.
